PPC Management Program – Terms & Conditions

By clicking “I Agree” and completing checkout, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not proceed.
1. Your Agreement With Us
These Terms and Conditions ("Terms") form a binding agreement between Branded Bull Inc. ("Branded Bull," "we," "our," or "us") and you, the individual or entity purchasing PPC Management services ("Client," "you," or **"your"").
2. Services & Scope
We will:
- Set up and configure your Google Ads account (if needed) and launch campaigns once the Setup Fee and first Management Fee are paid.
- Provide ongoing campaign management, optimization, and budget pacing.
- Deliver a monthly performance report and implement weekly optimizations (bids, keywords, ads, audiences, negatives, budget reallocations).
- Offer strategic recommendations to improve results.
3. Fees & Payment
- Setup Fee: $199 (+ 2.9 % fee) – non-refundable, due at sign-up.
- Management Fee: $399 (+ 2.9 % fee) per month or $399 + 10 % of ad spend for accounts spending MORE THAN $2,500/mo. (We will specify which tier applies on your invoice.)
- Billing: Management Fee is billed in advance for the upcoming month and auto-charged to your saved payment method.
- Ad Spend: Paid directly to Google Ads by you; we do not mark up or rebill ad spend.
- Late Payments: Invoices 15 days past due incur a $25 late fee per month; service may be paused until balance and late fees are paid.
- Reactivation: If service is paused for more than 60 days, a $99 (+ 2.9 %) reactivation fee may apply.
4. Pausing & Cancellation
You may pause or cancel service at any time by emailing support@brandedbull.com. We require 15 days’ notice to stop future Management Fee billing. Fees already paid are non-refundable, and no prorated refunds are issued for partial months. If paused, ads may continue serving until the end of the paid-through period unless you instruct otherwise.
5. Account Access & Ownership
- You retain full ownership of the Google Ads account.
- You will grant Branded Bull manager-level access.
- If service ends, you may remove our access; we will not delete historical data.
6. Client Responsibilities
You agree to:
(a) maintain an active Google Ads payment method;
(b) provide timely approvals or creative assets we request;
(c) ensure your website and landing pages comply with Google Ads policies; and
(d) pay all invoices when due.
7. Performance Disclaimer
PPC results depend on numerous factors outside our control (competition, seasonality, algorithm changes). We do not guarantee specific impressions, clicks, leads, or sales.
8. Portfolio & Marketing Use
You grant us permission to use anonymized performance data, ad creative, and account screenshots (excluding sensitive or personally identifiable info) to showcase our services in marketing materials, case studies, and presentations.
9. Confidentiality
Both parties will protect each other’s confidential information and use it solely for this engagement.
10. Limitation of Liability
To the fullest extent permitted by law, our total liability for any claim arising from these Terms will not exceed the Management Fees you paid in the three (3) months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
11. Indemnification
You agree to indemnify and hold us harmless from third‑party claims arising from (a) Content or landing pages you provide; (b) your breach of these Terms; or (c) your violation of law or Google Ads policies.
12. Governing Law & Venue
These Terms are governed by the laws of the State of Michigan, USA. Disputes will be resolved exclusively in the state or federal courts located in Oakland County, Michigan.
13. Changes to These Terms
We may update these Terms periodically. Material changes will be emailed to you or posted in your client portal. Continued use of our Services after the effective date constitutes acceptance.
